Part A – T&Cs for metropolitan France

These conditions apply to sales delivered in metropolitan France, including Corsica, subject to specific rules (see A6).

Applicable from 1st November 2026.

Seller: COPYMIX, an SAS (simplified joint-stock company) with share capital of €521,000, registered office: 26 allée Léon Jouhaux, 77183 Croissy-Beaubourg, RCS Meaux 407 649 912, SIRET 407 649 912 00034, intra-Community VAT number FR35 407 649 912, represented by Jan Michael Sieg, President.

Contractual notices: direction@copymix.com.

A1Scope and contractual documents

  • Our products and services are intended exclusively for professionals: office equipment resellers, other professional resellers and other professionals.
  • They are not intended for consumers or non-professionals.
  • For the activities described in A16, COPYMIX may also sell to end-user companies, provided they are professionals.
  • Every order constitutes acceptance of the T&Cs in force on the order date.
  • These T&Cs take precedence over any other document, in particular the customer’s purchasing conditions. Only special conditions accepted in writing by COPYMIX may derogate from them. Exception: as regards the licence, use, warranty and after-sales service of a branded product or solution (manufacturer, software publisher, operator or partner), the brand’s conditions take precedence over these T&Cs in the event of any discrepancy (A13, A16).
  • The eMANA solution and COPYMIX Partner’s Academy training courses are governed by their own general terms and conditions, which are separate from these T&Cs and provided to the customer before any order: for eMANA, the general terms and conditions of sale and use, version dated 28 October 2026; for training, the general terms and conditions of sale of COPYMIX Partner’s Academy, version 2026-1. These T&Cs apply to any matters not covered by those conditions.

A2Account opening and monitoring

Opening an account is subject to COPYMIX’s approval. The customer must provide:

  • a sheet of its company letterhead;
  • a Kbis extract (French company registration certificate) less than 3 months old;
  • a RIB (bank account details);
  • the identity document of the company’s director;
  • the account opening application and the qualification form, completed and signed;
  • these T&Cs, signed.

The account opening application gives rise to a request for cover from COPYMIX’s credit insurer.

  • Account terms are reviewed after 6 months of inactivity.
  • COPYMIX may suspend or close an account if the customer company is struck off the register or in the event of accumulated unpaid debts.

A3Orders

  • Orders are placed on the e-commerce website, by e-mail, by telephone or through a sales representative or sales assistant.
  • The order becomes firm and final once COPYMIX has validated the payment or the available credit.
  • An order may be modified as long as it has not been sent to the warehouse for preparation.
  • No cancellation is possible without COPYMIX’s prior consent. If COPYMIX accepts the cancellation of an item ordered specially for the customer, or a cancellation due to a customer error, a fee of 5% of the order amount excluding VAT is charged.
  • The customer may not cancel back orders. COPYMIX may cancel a back order that could not be delivered within 2 months, in which case it informs the customer.
  • COPYMIX may refuse or cancel an order that cannot be processed, in particular if the authorised credit limit is insufficient or the product is unavailable.
  • The first order must be paid before delivery, by bank transfer or bank card.

Handling fees

There is no minimum order. Handling fees may be applied, regardless of the order amount or ordering channel, depending on the COPYMIX department concerned and the delivery location. They are set in advance by quotation.

A4Original spare parts

  • These are non-catalogue items, supplied as a service and on firm order only. COPYMIX does not stock them.
  • The customer must provide the manufacturer’s part number (OEM), a brief description and the machine model.
  • For pro forma invoices and orders, only the OEM part number provided by the customer is binding.
  • Prices are subject to change without notice.
  • Parts ordered specifically for the customer are neither taken back nor exchanged.
  • COPYMIX passes on each manufacturer’s warranty conditions and procedures.

A5Prices

  • Prices are exclusive of VAT. VAT is charged in addition, at the statutory rate in force.
  • Catalogue prices are indicative and subject to change without notice.
  • The applicable price is that of the price list in force on the day the order is confirmed, subject to available stock.
  • If the purchase price increases after the order has been accepted (manufacturer price increase, stock-out or unavailability), COPYMIX informs the customer and asks for a new signed approval before shipment. Failing the customer’s approval, the order is cancelled at no cost to either party.
  • The page yields and compatibilities stated in the catalogue are given for information only.

A7Lead times and shipping

  • Products in stock: delivery within 24 to 48 hours, and up to 72 hours for palletised shipments. These lead times are targets, not firm commitments: COPYMIX depends on the carrier.
  • For next-day delivery of a parcel under 30 kg, order before 3 pm. This cut-off time may vary depending on the warehouse workload.
  • A delay gives no entitlement to compensation, penalties or cancellation of the order.
  • COPYMIX chooses the carrier according to the type of product.
  • Consumables: the order is shipped and back orders follow at no additional cost.
  • Equipment: it is not shipped partially if the missing component prevents it from being used.
  • For export shipments, the time to delivery depends on carrier constraints and is not guaranteed.

A8Collection

  • The customer or its carrier may collect the goods from our Croissy-Beaubourg site once the order has been registered.
  • The customer’s carrier must present a collection note or a consignment note. The goods are handed over against signature of the delivery note.
  • Please let us know you are coming by calling +33 1 60 34 54 80.
  • For a morning collection, the order must be placed before 3 pm on the previous day. Collection takes place from 9 am the next day. An unscheduled collection is charged at €10 excl. VAT.

A9Transfer of risk and receipt of goods

  • The transfer of risk takes place on departure from the Croissy-Beaubourg warehouse, when the goods are taken over by the customer or the carrier. Products travel at the consignee’s risk.
  • The customer must unpack and inspect the products on receipt, in the presence of the carrier. In the event of breakage or doubt, the customer must refuse the goods.
  • The customer must record the exact nature and extent of the damage on the delivery receipt or consignment note. Example: ‘2 boxes out of 10 crushed, contents broken’, number of missing items, product reference affected.
  • The notes ‘subject to reservation’ or ‘damaged parcel’ have no legal effect.
  • The customer must confirm its reservations to the carrier and to COPYMIX by registered letter with acknowledgement of receipt within 3 business days.
  • Failing these steps, no dispute can be considered.

A10Payment

  • Accepted payment methods: bank transfer, SEPA direct debit, bank card, LCR (French electronic bill of exchange) or draft, online payment.
  • Payment terms are only granted to customers covered by COPYMIX’s credit insurance, under a written agreement confirmed before they apply.
  • Maximum payment term: 60 days from the invoice issue date.
  • COPYMIX may require a deposit, or payment with the order or on delivery, depending on the order amount, the customer’s profile (new customer, length of relationship), the credit insurer’s opinion, in the event of late payment, or for specially ordered products.
  • No discount is granted for prompt payment.
  • Any postponement of a due date must be requested when ordering and accepted by COPYMIX.

In the event of late payment

  • All sums owed, even if not yet due, become immediately payable.
  • Penalties of at least three times the statutory interest rate are applied.
  • A fixed indemnity of €40 for recovery costs is payable. Litigation costs are to be reimbursed to COPYMIX.
  • COPYMIX may suspend or cancel pending orders.
  • COPYMIX may withdraw the discounts granted to the customer for a period of 1 month, renewable until the outstanding unpaid amounts have been settled.
  • If a formal notice remains unheeded for 1 month, COPYMIX may terminate pending orders and close the account.
  • In the event of the sale, merger, cessation of business or striking-off of the customer, the sums owed become immediately payable.

A11Retention of title

  • The goods remain the property of COPYMIX until full payment of the price, ancillary costs and taxes. Risks remain with the customer from the time they pass (A9).
  • The customer must prevent any misappropriation, pledging or seizure of these products and facilitate their identification in its stock.
  • If the customer resells them before paying for them, it must give COPYMIX the names and addresses of the buyers, assign to COPYMIX the price they owe, and inform them of the retention of title.

A12Claims and returns

Procedure

  • All returns require COPYMIX’s prior written consent. The customer must open an online ticket, complete the return form and obtain a return number (RMA). Depending on the case, the customer must attach a diagnosis, photos or supporting documents (maintenance reports, invoices).
  • The form must state: invoice (or delivery note) number and date, customer number, product reference, quantity and reason.
  • The customer must return the products within 10 days of the RMA issue date, in new condition, in their original packaging, with the carrier’s collection note. The RMA number must be clearly shown on the packaging.

Defective consumables

  • Claims must be made within 6 months of receipt. After this period, they will no longer be considered.

Equipment: concealed damage

  • Damage not visible on delivery must be reported to the Equipment Department within 2 months of delivery.
  • The customer must keep the original box and provide 3 photos of the box (with the serial number visible) and one photo of the damaged equipment, to materiel@copymix.com or via www.my-copymix.com.

Customer error

  • The customer must notify COPYMIX in writing within 5 days of the invoice date. The product must be returned in its original condition.
  • A handling fee of 10% of the value of the returned products is charged, depending on the product or the reason for return.
  • Returns with a value of €50 excl. VAT or less are not accepted.

Invoicing or delivery error by COPYMIX

  • Claims must be made by registered letter within 10 days of receipt. Failing this, the invoice or delivery is deemed accepted.
  • An incomplete delivery does not justify refusing to pay for the products delivered, unless the customer requested a complete delivery. Partial invoices may be issued as deliveries are made.
  • Payment is never conditional on the installation or commissioning of the devices. A dispute does not suspend payment of the undisputed portion.

Products excluded from returns

The following are neither taken back nor exchanged: products that have been opened or used, installed or tested; products ordered specially or subject to a special quotation; products customised or adapted to the customer’s needs; software and licences; spare parts ordered specifically for the customer.

Refused returns

  • A product returned without prior consent, or after the 10-day deadline, is refused and sent back at the sender’s expense and risk. The invoice remains payable on its due date.
  • A refused product remains at the customer’s disposal at the carrier’s premises for 14 days; after this period, COPYMIX may dispose of it.
  • Any credit note is calculated on the basis of the invoiced price excluding VAT.
  • Return costs are borne by the customer, except in the case of an error acknowledged by COPYMIX or a return covered under warranty (A13).

A13Warranties

  • For any warranty claim, contact our departments. They alone decide on the action to be taken.
  • Original products, including equipment: COPYMIX does not grant its own warranty. They benefit from the same warranties as those of the manufacturer or supplier, in accordance with its conditions.
  • Generic or remanufactured products (spare parts and consumables): COPYMIX warrants them provided that the customer complies with the manufacturer’s rules for use and maintenance and proves the defect. Duration: 6 months.
  • When COPYMIX accepts a claim under warranty, it bears the transport, labour and travel costs.
  • The warranty does not cover damage caused in particular by an electrical incident, an accident, misuse or the use of consumables or paper not recommended by the manufacturer.
  • COPYMIX does not guarantee compatibility with other suppliers’ products. The customer must provide all information needed to process the warranty claim.
  • As a professional, the customer waives the statutory warranty against latent defects under Articles 1641 et seq. of the French Civil Code (Code civil).

A14Liability

  • COPYMIX is a wholesaler acting as an intermediary between the manufacturer and the customer. The products are warranted under the manufacturer’s conditions, which are provided on written request.
  • To benefit from this, the customer must immediately notify the support department in writing.
  • COPYMIX does not compensate for intangible losses: loss of production, operating losses, exchange-rate losses or loss of data, financial or commercial loss.
  • If a manufacturer or software publisher ceases to exist (cessation of business, dissolution, insolvency proceedings), COPYMIX does not assume the warranty for its products.
  • A warranty claim never suspends payment of the invoice. The customer may not set off any sum owed to COPYMIX against any sum it considers to be owed to it, unless COPYMIX agrees in writing.
  • The customer chooses the products and configurations under its sole responsibility. COPYMIX does not guarantee their fitness for a particular purpose.
  • As a professional seller, the customer advises and informs its own customer. It is solely liable to the end user for the obligation of conformity and indemnifies COPYMIX against any action on that basis.

A15E-commerce website and customer area

Ownership and access

  • The websites www.copymix.com, www.my-copymix.com and www.copymix.fr belong to COPYMIX, together with all associated rights.
  • Any reproduction is subject to authorisation. Hyperlinks to the websites are permitted.
  • COPYMIX creates, modifies and deletes customer access. The customer designates the persons authorised to use its area and their rights, which relate to ordering the products and services offered at the prices shown.
  • The authorised reseller can view product references and prices and place orders. Only customers located in metropolitan France can order on the website. Export customers can view prices and availability and request quotations.

Confidentiality and security

  • The customer must not share its login credentials with anyone or disclose any confidential information from the online area, in particular prices and ordering procedures, even after the business relationship has ended.
  • Use of the login credentials constitutes proof of the customer’s identity and of the authority of the person using them.
  • The customer must report any loss or any risk of unauthorised use to COPYMIX without delay, by e-mail confirmed by registered letter.
  • COPYMIX may block access without notice in the event of loss, sharing or fraudulent use of the login credentials.

Limitation of liability

COPYMIX is not liable for typographical errors, for interruptions or delays due to maintenance, a breakdown, force majeure, a third party or the internet, for any unlawful or improper use of login credentials, or for any information on the website that may no longer be up to date.

A3 machines: contact the Equipment Department on +33 1 60 34 26 17 to order the mandatory options and consumables. COPYMIX is not liable for an incomplete web order.

Placing an order online

  • The customer logs in with its credentials, then enters and confirms an electronic order form: products, quantities, prices, shipping costs and delivery location.
  • In the event of a change or reservation (for example a back order), COPYMIX sends a confirmation by e-mail.
  • An acknowledgement of receipt is issued for each online order and is available in the customer’s account on the e-commerce website. The records in COPYMIX’s systems constitute proof of orders.
  • These T&Cs apply in the same way to online orders.

A16New activities and services

  • COPYMIX also offers: software and licences; SaaS solutions; Visual and audiovisual; ergonomics, acoustics and furniture; IP telephony; training (COPYMIX Partner’s Academy); robotics; installation, maintenance and support.
  • With the exception of training and the eMANA solution, these offers are governed by these T&Cs and by special conditions specific to each activity (quotation, purchase order, service or subscription contract), provided to the customer before the order.
  • Where COPYMIX supplies the product or solution of a manufacturer, software publisher, operator or partner (the brand), the customer also accepts that brand’s conditions: licence, use, warranty, after-sales service. In the event of any discrepancy with these T&Cs on these points, the brand’s conditions prevail. Prices, payment and delivery remain governed by these T&Cs.
  • Licences may involve a fixed-term commitment or a renewal of 1 to 5 years, depending on the licences and solutions.
  • Displays and acoustic solutions may require technical prerequisites or a site visit before ordering.
  • An installation may only be cancelled or postponed upon written request, in exceptional circumstances. One month’s notice must be given; failing this, cancellation or postponement fees may be charged, up to the non-refundable amounts committed by COPYMIX.
  • Training (COPYMIX Partner’s Academy): governed by the general terms and conditions of sale of COPYMIX Partner’s Academy, version 2026-1; these T&Cs apply to any matters not covered by those conditions (see A1).
  • IP telephony and robotics: the general terms and conditions of sale of the partners PeopleFone and TDS apply without restriction.
  • eMANA solution: governed by its general terms and conditions of sale and use, version dated 28 October 2026; these T&Cs apply to any matters not covered by those conditions (see A1). COPYMIX acts as a sales intermediary.

A17Intellectual property

The sale of the products does not confer on the customer any rights to the trademarks, catalogues, visuals, technical data and content of COPYMIX or its suppliers. The customer must report to COPYMIX any infringement of which it is aware.

A18Force majeure

Neither party is liable for a failure caused by a force majeure event. The obligations concerned are suspended for its duration. If the force majeure event lasts more than 60 days, either party may terminate the order concerned in writing.

A19Personal data

  • COPYMIX processes the data of the customer’s contact persons to manage the account, orders, invoicing and the business relationship.
  • The data is kept for the duration of the business relationship and for 3 years thereafter.
  • Data subjects may exercise their rights of access, rectification and erasure by contacting: contactrgpd@copymix.com. On receipt of an erasure request, the data is erased within one week; confirmation is sent to the requester by return e-mail.

A20Environment

  • As a producer, COPYMIX is registered with the eco-organisation (French producer responsibility organisation) and is up to date with its eco-contributions. Unique identification number (IDU): FR025215_052EV8.
  • Eco-contributions are shown on a separate line on invoices.

A21Amendments to the T&Cs and general provisions

  • COPYMIX may change its prices without notice. It may also amend its T&Cs, in which case 15 days’ notice is given. The applicable version of the T&Cs is the one in force on the order date; the applicable price is defined in A5.
  • Any dispute concerning a year’s commercial terms (discounts, rebates) must be raised before 30 January of the following financial year.
  • COPYMIX’s failure to enforce a clause at any given time does not constitute a waiver of its right to rely on it. If a clause is declared void, the other clauses remain applicable.

A22Disputes and governing law

  • These T&Cs are governed by French law.
  • Any dispute falls within the exclusive jurisdiction of the Commercial Court of Meaux (tribunal de commerce de Meaux).

Acceptance of the T&Cs for metropolitan France

The customer declares that it has read these general terms and conditions of sale and accepts them without reservation.

The signature block (company name, signatory, date and company stamp) is included in the PDF version (in French).

Part B – Export T&Cs

  • They are not intended for consumers or non-professionals.
  • Every pro forma request and every order constitutes acceptance of the T&Cs in force on the date of the request or order.
  • These T&Cs take precedence over any other document, in particular the customer’s purchasing conditions. Only special conditions accepted in writing by COPYMIX may derogate from them. Exception: as regards the licence, use, warranty and after-sales service of a branded product or solution (manufacturer, software publisher, operator or partner), the brand’s conditions take precedence over these T&Cs in the event of any discrepancy (B11, B16).
  • COPYMIX may refuse to sell its generic products to a customer that does not meet these criteria.
These T&Cs do not apply to them.

B2Account opening

Opening an account is subject to COPYMIX’s approval and gives rise to a request for cover from its credit insurer. The customer must provide:

  • a Kbis extract (French company registration certificate) or proof of registration in the trade register, less than 3 months old;
  • a RIB (bank account details) with the full IBAN details;
  • the identity document of the company’s director;
  • the export account opening application and the qualification form, completed and signed (available on request);
  • these T&Cs, signed.

B3Orders

  • Orders are placed by e-mail, by telephone or through a sales representative or sales assistant.
  • The order becomes firm and final upon receipt of the customer’s signed approval.
  • An order may be modified as long as it has not been sent to the warehouse for preparation.
  • Cancellation is only possible with COPYMIX’s exceptional prior consent, for example if the manufacturer is significantly delayed and accepts the cancellation. An accepted modification or cancellation may result in a price supplement or cancellation fees.
  • Minimum order: €200 excl. VAT, except for original spare parts (see B15). Below this amount, a surcharge of €23 excl. VAT is added to the order.
  • COPYMIX may send an order acknowledgement with estimated lead times for back orders.
  • COPYMIX manages back orders. Customers who do not want them must state this clearly on their purchase order. Back orders are never shipped carriage paid. COPYMIX may cancel a back order that has not been delivered within 2 months.
  • COPYMIX may refuse or cancel an order that cannot be processed, in particular if the authorised credit limit is insufficient or the product is unavailable.
  • A pro forma invoice or a quotation does not reserve the products.

B4Prices and manufacturers’ documents

  • Prices are exclusive of VAT, EXW (Ex Works), in accordance with Incoterms® 2020. Where a sale is made inclusive of tax, VAT is calculated at the statutory rate in force.
  • Catalogue prices, special prices and promotional prices are indicative and subject to change without notice.
  • The applicable price is the one in force on the day of the order, subject to available stock.
  • The price is not revised after the order has been accepted, including in the event of a manufacturer price increase, stock-out or unavailability.
  • The page yields and compatibilities in the catalogue are given for information only.
  • Manufacturers’ brochures, documents and price lists are not contractually binding.

B5Lead times

  • The lead times stated are targets, not firm commitments.
  • If a manufacturer, OEM or supplier fails to meet its lead times, COPYMIX owes neither compensation nor penalties.

B6Collection and shipping

  • Collection takes place at our Croissy-Beaubourg site, by the freight forwarder appointed by the customer, once the order has been registered and prepared.
  • The customer chooses its carrier. It must provide the full contact details of its carrier, approved freight forwarder or customs broker, and the shipping method: air, sea, land, multimodal, parcel post or express.
  • COPYMIX contacts the freight forwarder. The driver must present a collection note or consignment note, together with an identity document. The goods are handed over to the driver against signature.
  • Collection hours: Monday to Friday, 8.30 am to 12.30 pm and 1.30 pm to 5.30 pm, until 4.30 pm on Fridays.
  • The collection method chosen by the customer, together with its costs and risks, is the customer’s responsibility.
  • Any specific packaging, packing or handling requested is at the buyer’s expense. Specific boxes or pallets are invoiced with the order.
  • Dangerous or regulated products are packed, invoiced and shipped separately. Special packaging is at the customer’s expense.
  • The estimated transport costs may be revised according to the final packing details.
  • Carriage-paid shipments are only made to the DROM-COM (French overseas departments and territories).
  • The Export Department can arrange carriage-paid shipment: CIP, CPT or DDP.
  • Copiers, digital duplicators, fax machines and other machines may be sold and shipped FCA.

B7Trade counter orders

Monday to Friday, 8.30 am to 12.30 pm, by appointment only, booked 48 hours in advance. Closes at 4.30 pm on Fridays.

B8Transfer of risk and receipt of goods

  • The transfer of risk follows the Incoterm of the order. Failing that, it takes place when the goods leave our site, upon collection by the customer or its carrier.
  • The customer or its carrier must check that the parcels are in good condition on collection and again at the final destination, even if a parcel appears intact.
  • It must record precise reservations on the delivery receipt of the freight forwarder or local carrier: nature and extent of the damage, number of parcels and items affected.
  • In the event of damage, it must give notice by registered letter with acknowledgement of receipt within 72 hours, with details of the damage, losses or deterioration (photos, judicial officer’s and insurer’s reports).
  • If the shipment was made carriage paid to destination, it must also notify COPYMIX in writing within the same period, providing this information.
  • Without reservations on the delivery note, COPYMIX cannot open any claim file.

B9Use of the products

The customer must familiarise itself with the characteristics of the products and use them in a suitable environment. COPYMIX does not guarantee their suitability for every task of the customer’s business.

B10Claims and returns

Procedure

  • All returns require COPYMIX’s prior written consent: online ticket, return form and return number (RMA).
  • The claim must state: invoice (or delivery note) number and date, customer number, product reference, quantity and reason.
  • The RMA number is valid for 10 working days and must be clearly shown on the packaging returned by the customer. The product must be returned in new condition, in its original packaging.

Defective products

  • Claims must be made by registered e-mail or registered letter within 30 days (air freight) or 90 days (sea freight) of receipt in the customer’s country. After this period, they will no longer be considered.
  • COPYMIX does not reimburse shipping or return costs.

Customer error

  • The customer must notify COPYMIX in writing within 10 days of the invoice date. The product must be returned in its original condition.
  • A handling fee of 10% of the value of the returned products is charged. Returns with a value of €50 excl. VAT or less are not accepted.

Invoicing or delivery error by COPYMIX

  • Claims must be made by registered e-mail or registered letter within 10 days of receipt. Failing this, the invoice or delivery is deemed accepted.
  • An incomplete delivery does not justify refusing to pay for the products delivered. Partial invoices may be issued.
  • Payment is never conditional on the installation or commissioning of the devices. A dispute does not suspend payment of the undisputed portion.

Products excluded from returns

The following are neither taken back nor exchanged: products that have been opened or used, installed or tested; products ordered specially or subject to a special quotation; products customised or adapted to the customer’s needs; software and licences.

Refused returns

  • A product returned without prior consent, or after the 10-working-day deadline, is refused and sent back at the sender’s expense and risk. The invoice remains payable on its due date.
  • A refused product remains at the customer’s disposal at the carrier’s premises for 14 days; after this period, COPYMIX may dispose of it. Any credit note is calculated on the basis of 75% of the purchase price excluding VAT, up to the amount invoiced.

B11Warranties

  • For any warranty claim, contact our departments. They alone decide on the action to be taken.
  • Original products, including machines: only the warranty of each manufacturer or supplier (manufacturing defects) applies, in accordance with its conditions and procedures.
  • The customer must return the warranty card supplied with certain machines to the manufacturer by registered post and send a copy to COPYMIX. Without this card, the warranty does not apply.
  • Products with an expiry date must be used before that date, failing which the manufacturer’s warranty is forfeited.
  • Generic products: COPYMIX warrants them on the same terms as original products, provided that the customer uses parts and consumables approved by COPYMIX and complies with the manufacturer’s rules.
  • The warranty does not cover damage caused in particular by an electrical incident, an accident, misuse or the use of non-recommended consumables.
  • COPYMIX does not guarantee compatibility with other suppliers’ products. The customer must provide all information needed to process the warranty claim.
  • As a professional, the customer waives the statutory warranty against latent defects under Articles 1641 et seq. of the French Civil Code (Code civil).

B12Payment

  • Accepted payment methods: bank transfer, SEPA direct debit, bank card, LCR (French electronic bill of exchange) or draft, online payment, letter of credit.
  • Payment terms are only granted to customers covered by COPYMIX’s credit insurance, under a written agreement confirmed before they apply.
  • Maximum payment term: 60 days from the invoice issue date.
  • Terms are reviewed in line with account activity and cancelled after 6 months of inactivity.
  • COPYMIX may require a deposit, or payment with the order or on delivery, in particular for specially ordered products or in the event of late payment.
  • Any postponement of a due date must be requested when ordering and accepted in writing by COPYMIX.
  • Payment by letter of credit: minimum order of €3,800 excl. VAT. Only irrevocable and confirmed documentary credits are accepted. The terms are communicated when the order is placed.
  • Certain bank charges relating to the payment method may be re-invoiced. The customer is informed of them.

In the event of late payment

  • All sums owed, even if not yet due, become immediately payable.
  • A fixed indemnity of €46 for processing costs is payable, plus reimbursement of litigation costs.
  • Penalties of at least three times the statutory interest rate are applied.
  • COPYMIX may suspend or cancel pending orders.
  • COPYMIX may also charge a fee for each unpaid bill, withdraw the discounts granted, terminate orders after a formal notice has remained unheeded, and demand payment of the balance in the event of the sale, merger, cessation of business or striking-off of the customer, or of an amount that may not exceed 10% of the overall invoice over a 12-month period.

B13Retention of title

  • The goods remain the property of COPYMIX until full payment of the price, ancillary costs and taxes.
  • The customer must prevent any misappropriation, pledging or seizure of these products. It must record them on a separate line on the assets side of its balance sheet and facilitate their identification in its stock.
  • If the customer resells them before paying for them, it must give COPYMIX the names and addresses of the buyers, assign to COPYMIX the price they owe, and inform them of the retention of title.

B14Liability

  • COPYMIX is not liable for personal injury, property damage, commercial or other loss caused by the goods sold, or by technical work, where the installation or operating standards have not been complied with. It is the buyer’s responsibility to take out appropriate insurance against these risks.

B15Original spare parts

  • These are items not listed in the catalogue or on the e-commerce website, supplied as a service and on firm order only. COPYMIX does not stock them: it orders them from the manufacturer on receipt of the order.
  • They are sold on firm order and against payment, except to account customers with payment terms. A deposit may be requested.
  • The customer must provide the item’s part number and a brief description (designation, machine model). Only the part number is binding.
  • We recommend placing a separate order for these items. They are invoiced separately.
  • Possible discount: 16% for an order of €2,200 in spare parts only. Cannot be combined with other discounts (the Export price list is generally in net prices excluding VAT).
  • Minimum order: €200 excl. VAT. Below this amount, a surcharge of €23 excl. VAT is applied for administrative costs.
  • Prices are subject to change without notice. If the manufacturer supplies a new replacement part number at a different price, COPYMIX will inform the customer as best it can. The customer may not cancel its order.
  • Cancellation of orders and back orders is not permitted, unless the manufacturer declares the item permanently obsolete, or where the manufacturer is significantly delayed and accepts the cancellation.
  • No returns in the event of an ordering error, unless COPYMIX is proven to be at fault. No returns without RMA authorisation. Parts ordered specifically for the customer are neither taken back nor exchanged.
  • COPYMIX passes on each manufacturer’s warranty conditions and procedures.
  • Indicative lead time for delivery from the manufacturer to COPYMIX: approximately 1 week, if the part is in stock in Europe.
  • COPYMIX does not know the stock, weight or volume of the parts in advance: quotations do not include shipping costs.
  • COPYMIX is not liable for any stock-out or end of production occurring after the signed approval.

B16New activities and services

Displays and acoustic solutions may require technical prerequisites or a site visit. An installation may only be cancelled or postponed upon written request, in exceptional circumstances. The terms of the T&Cs apply.
  • Training (COPYMIX Partner’s Academy): governed by the general terms and conditions of sale of COPYMIX Partner’s Academy, version 2026-1, and not by these T&Cs (see B1).
  • eMANA solution: governed by its general terms and conditions of sale and use, version dated 28 October 2026, and not by these T&Cs (see B1).

B17Intellectual property, force majeure, personal data

  • The sale of the products does not confer on the customer any rights to the trademarks, catalogues, visuals, technical data and content of COPYMIX or its suppliers.
  • Neither party is liable for a failure caused by a force majeure event. The obligations concerned are suspended for its duration. Beyond 3 months, either party may terminate the order concerned in writing.
  • COPYMIX processes the data of the customer’s contact persons to manage the account, orders, invoicing and the business relationship. Contact: contactrgpd@copymix.com. Retention period: the duration of the business relationship plus 3 years.

B18Amendments to the T&Cs and general provisions

  • COPYMIX may change its prices without notice. It may also amend its T&Cs, in which case it informs the customer within a reasonable period. The applicable version is the one in force on the order date.
  • COPYMIX’s failure to enforce a clause at any given time does not constitute a waiver of its right to rely on it. If a clause is declared void, the other clauses remain applicable.

B19Disputes and governing law

  • These T&Cs are governed by French law.
  • Customers established in the DROM-COM (French overseas departments and territories) or in metropolitan France: any dispute falls within the exclusive jurisdiction of the Commercial Court of Meaux (tribunal de commerce de Meaux).
  • Other countries: the Rome Convention of 19 June 1980, the Hague Convention of 15 June 1955, the Vienna Convention of 11 April 1980 and the New York Convention of 1958 apply.
